End-User License Agreement

Last updated: September 29, 2026

This is the agreement shown by the installer. It is reproduced here so you can read it before you download. Installers from version 7.15.0.0 show exactly this text. Installers up to and including version 7.14.0.0 (September 18, 2026) name the licensor as ALERTLINK TECHNOLOGIES, the name AlertLink Technologies LLC trades under, and show an older web address under the signature; version 7.14.0.0 is otherwise the same. Installers released before September 16, 2026 word the governing-law sentence in section 8 as “the laws of the jurisdiction in which Licensor is established”. The licensor is established in Tennessee, so both wordings mean the same. Installers released before September 17, 2026 do not contain the three sentences at the end of section 4: that a refund ends the license, that you certify in writing within ten days that the Software is uninstalled, and the once-a-year written report of where it is installed. The Terms of Service, which apply to every purchase, contain the same obligations.

IMPORTANT - READ CAREFULLY: This End-User License Agreement ("Agreement") is a legal agreement between you, either an individual or a single entity ("Licensee" or "you"), and ALERTLINK TECHNOLOGIES LLC, a Tennessee limited liability company ("Licensor," "we," or "us") for the SQL Data Collector software product, which includes the computer software and may include associated media, printed materials, and online or electronic documentation (collectively, the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. GRANT OF LICENSE.

Subject to the terms of this Agreement and your payment of any applicable license fees, Licensor grants you a non-exclusive, non-transferable license to install and use the Software solely for your internal business purposes, up to the number of monitored servers and for the license term authorized by your license key.

2. LICENSE RESTRICTIONS.

You shall not, and shall not permit any third party to: (a) copy the Software except as expressly permitted herein; (b) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party; (c) use the Software beyond the scope of the license you have purchased, including exceeding the licensed number of monitored servers or the license term; (d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation; (e) modify, adapt, translate, or create derivative works based upon the Software; (f) remove, alter, or obscure any proprietary notices on or in the Software; or (g) circumvent, disable, tamper with, or otherwise defeat any license key, activation, copy-protection, integrity check, or other security or usage-control mechanism in the Software, or use the Software with a counterfeit, altered, or otherwise unauthorized license key.

3. OWNERSHIP.

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. All rights not expressly granted to you are reserved by Licensor.

4. TERM AND TERMINATION.

This Agreement is effective until terminated. Your license is valid for the term, if any, specified by your license key. This Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination or expiration, you must cease all use of the Software and destroy all copies in your possession or control. If the license fee for your license is refunded, your license ends on the date of the refund. Within ten (10) days after a refund or termination, you will remove the license key, uninstall the Software, and certify to Licensor in writing that you have done so. On reasonable notice, and no more than once per year, you will give Licensor a written report of the hosts on which the Software is installed and the number of servers it monitors. The provisions that by their nature should survive termination, including Sections 2 through 8, shall survive.

5. SUPPORT AND UPDATES.

Licensor may, but is not obligated to, provide maintenance, support, or updates for the Software. Any updates provided are subject to this Agreement unless accompanied by separate terms.

6. DISCLAIMER OF WARRANTIES.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF YOUR DATA AND SYSTEMS.

7. LIMITATION OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. GENERAL.

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect. Licensor's failure to enforce any right or provision shall not constitute a waiver of that right or provision. This Agreement is governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws principles.
